OVERVIEW: The lumber company entered into a requirements contract with the successor's predecessor. The successor took over the accounts receivable and sued the lumber company, but eventually dismissed the action voluntarily. The appellate court held that both parties pleaded their entitlement to attorney's fees pursuant to Fla. Stat. ch. 57.105 only and not pursuant to the contract. Only after the successor voluntarily dismissed its claims did the lumber company move to tax attorney's fees and costs pursuant to ch. 57.105(5). It had not alleged in its answer any reciprocal claim for contractual attorney's fees, notwithstanding the contract's unilateral fee provision favoring the predecessor/successor.
